Welcome to Overglide, a service-based subsidiary of Esso Digital. By using our services, you agree to the following terms and conditions. Please read them carefully.

1. Agreement to Terms

2. Services

Overglide provides custom website design and development services using the Framer platform. Our services include, but are not limited to, web design, development, SEO optimization, and ongoing maintenance and support.

3. Quotes and Pricing

  • Quotes: After an initial consultation, we will provide you with a personalized quote based on your project requirements. This quote will outline the scope of work, estimated timeline, and cost.

  • Pricing: The pricing for our services is determined on a project-by-project basis and is subject to change based on the scope of work. All prices will be clearly stated in the quote provided to you.

  • Payment: Payment terms will be outlined in your quote. Typically, a deposit is required before work begins, with the balance due upon project completion.

4. Payment Terms

  • Deposit: A non-refundable deposit, typically 50% of the total project cost, is required to secure your project in our schedule. This deposit confirms your commitment to the project.

  • Final Payment: The remaining balance is due upon completion of the project before the website goes live. Final files will be delivered, and the website will be launched only after full payment is received.

  • Late Payments: If payment is not received by the due date, Overglide reserves the right to suspend work on the project until payment is made. Continued non-payment may result in termination of the project, with no obligation to refund any payments made.

5. Project Timeline

We will work diligently to meet the agreed-upon timeline for your project. However, delays caused by the client, such as late delivery of content or feedback, may result in an extended timeline. We will communicate any potential delays as soon as they are identified.

6. Revisions and Changes

  • Revisions: Our quotes typically include a specified number of revisions during the design process. Additional revisions beyond the agreed-upon number may incur extra charges.

  • Scope Changes: Any significant changes to the project scope after work has begun may require a revised quote and additional costs. We will inform you of any potential cost increases before proceeding.

7. Content and Intellectual Property

  • Client Content: You are responsible for providing all content (text, images, etc.) necessary for the completion of your website. You warrant that you own or have the right to use all content provided.

  • Ownership: Upon full payment, you will own the final website design and all related materials. However, Overglide retains the right to showcase the completed work in our portfolio and marketing materials.

  • Intellectual Property Rights: Overglide retains ownership of any pre-existing design elements, code, or tools used in the creation of your website.

8. Ongoing Support and Maintenance

We offer ongoing support and maintenance services to keep your website updated and functional. These services may be included in your initial quote or offered as an additional service under a separate agreement.

9. Cancellations and Refunds

  • Cancellation by Client: If you choose to cancel the project after the deposit has been paid, the deposit will not be refunded. If you cancel after significant work has been completed, you may be required to pay for the work performed up to the cancellation date.

  • Cancellation by Overglide: We reserve the right to cancel the project at any time if the client fails to adhere to these terms, including non-payment or unresponsiveness. In such cases, no refunds will be issued.

10. Limitation of Liability

Overglide is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our maximum liability to you for any claim related to our services shall not exceed the total amount paid by you for the services in question.

11. Dispute Resolution

Any disputes arising out of or related to these Terms and Conditions shall be resolved through good faith negotiations. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the rules of [Arbitration Association]. The arbitration shall take place in [Your State], and the arbitrator’s decision shall be final.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
